Independent businesses
Providers operate independently and are responsible for the services they offer.
This Agreement explains the rules that apply when an independent service business joins HelpPair, accesses customer opportunities, purchases leads, communicates with customers, and uses HelpPair provider tools.
Providers operate independently and are responsible for the services they offer.
Customer leads are prospective opportunities, not guaranteed customers or booked jobs.
Providers control their own estimates, pricing, schedules and customer agreements.
Participating businesses must use HelpPair responsibly and comply with applicable law.
HelpPair is a connection and marketing platform. Providers are independent businesses. HelpPair does not employ providers and does not control the manner in which providers perform their services for customers.
By creating a provider account, purchasing or receiving a HelpPair lead, using provider tools, or otherwise participating in the HelpPair provider marketplace, the business agrees to this Provider Agreement.
If an individual creates an account on behalf of a business or organization, that individual represents that they have authority to accept this Agreement on behalf of that business.
Providers participating through HelpPair are independent businesses and are not employees, partners, franchisees, joint venturers or agents of HelpPair merely because they use the platform.
Providers independently control their business operations, including:
A participating provider must operate a legitimate business and provide accurate information when registering or maintaining a HelpPair account.
HelpPair may request reasonable business information where necessary for marketplace administration, compliance, payment processing or account review.
Providers are responsible for maintaining accurate account information and safeguarding login credentials.
Providers should promptly update information such as:
Providers are responsible for activity occurring through their accounts unless prohibited by law.
HelpPair may make customer inquiries or service opportunities available to participating providers.
A lead may include customer information such as:
A customer may decline to answer, compare multiple companies, postpone the project, cancel the work or hire another provider.
HelpPair may charge providers for access to certain leads or marketplace opportunities.
Lead pricing may vary according to factors including:
The price presented at the time of purchase controls unless HelpPair expressly states otherwise.
Provider lead-credit requests are governed by HelpPair's Lead Purchase & Credit Policy.
Providers understand that failure to convert a lead into a paying customer does not by itself make the lead invalid.
Approved credits may be issued as provider account credit rather than a cash refund, except where otherwise required by applicable law.
Providers may use customer information received through HelpPair for legitimate communication concerning the customer's service inquiry and related business relationship.
Providers must comply with applicable laws governing calls, text messages, emails, advertising, privacy and consumer communications.
Providers must not:
The provider is solely responsible for the underlying service relationship with the customer.
Providers independently determine:
HelpPair is not ordinarily a party to contracts entered into directly between a customer and an independent provider.
Providers are responsible for determining and maintaining all licenses, registrations, permits, insurance and qualifications required for their services and jurisdiction.
Providers must not represent themselves as licensed, insured, bonded, certified or otherwise credentialed unless that representation is accurate.
HelpPair's marketplace participation does not replace any license, permit or insurance required by law.
Providers must use HelpPair in a lawful and professional manner.
Providers may not:
Providers agree to pay applicable charges associated with lead purchases, subscriptions, credits, marketplace access or other provider services they authorize.
Providers are responsible for maintaining valid payment information when required.
HelpPair may use third-party payment processors to process provider payments.
HelpPair does not guarantee:
Lead availability may vary substantially by category, region, season and marketplace demand.
HelpPair may restrict, suspend or terminate provider access when reasonably necessary to protect customers, providers, HelpPair or marketplace integrity.
Reasons may include:
HelpPair provides marketplace and marketing services and does not guarantee the conduct, quality, pricing, availability or performance of any customer or provider.
To the maximum extent permitted by applicable law, HelpPair will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from provider use of the marketplace.
Nothing in this Agreement excludes liability that cannot legally be excluded or limited.
To the extent permitted by law, the provider agrees to defend, indemnify and hold harmless HelpPair and its affiliates, officers, employees and representatives from claims, losses, liabilities and expenses arising from:
HelpPair may revise this Provider Agreement from time to time.
Updated versions may be posted to this page with a revised effective date.
Continued use of provider services after an updated Agreement becomes effective may constitute acceptance of the revised terms to the extent permitted by applicable law.
